These Terms & Conditions (“Terms”) form a legally binding agreement between BioHax Labz (“Company,” “we,” “our,” or “us”) and any individual or entity (“User,” “you,” or “Purchaser”) who accesses or uses our website, online store, or services (collectively, the “Site”). By accessing or purchasing from this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Research Use Only
All products sold by BioHax Labz are supplied strictly for in vitro laboratory research purposes. They are not drugs, foods, dietary supplements, cosmetics, or medical devices. They are not intended for human or veterinary consumption, administration, injection, diagnosis, treatment, cure, or prevention of any disease or condition.
No product offered on this Site has been evaluated or approved by the U.S. Food and Drug Administration for human or animal use. Any use of our products outside of a controlled laboratory research setting is strictly prohibited and is undertaken entirely at the User’s own risk.
2. Eligibility
To purchase from this Site you represent and warrant that you are:
- At least 21 years of age;
- A qualified researcher, laboratory, academic institution, or research professional, or acting on behalf of one;
- Legally able to enter into a binding contract; and
- Purchasing solely for lawful laboratory research use.
We reserve the right to refuse, limit, or cancel any order at our sole discretion, including where we believe an order may be intended for non-research use.
3. No Guidance or Instructions
BioHax Labz does not provide protocols, dosing information, administration instructions, medical advice, or usage recommendations of any kind. Researchers are solely responsible for determining appropriate research applications, handling procedures, and safety controls, and for complying with all applicable institutional and regulatory requirements.
4. Product Information and Availability
We make reasonable efforts to describe products accurately, including identity, strength, and purity specifications. However, we do not warrant that product descriptions, images, pricing, or other content are error-free, complete, or current. Product availability is not guaranteed, and we may discontinue or modify any product without notice.
5. Orders, Pricing, and Payment
All prices are listed in U.S. dollars and are subject to change without notice. Placing an order constitutes an offer to purchase, which we may accept or decline. Payment must be received in full before an order is processed. You are responsible for any applicable taxes, duties, or fees.
In the event of a pricing or typographical error, we reserve the right to cancel the affected order and issue a refund.
We may request additional information to verify an order, billing method, purchaser eligibility, or shipping address. An order confirmation only confirms that we received your request; it does not constitute acceptance. We accept an order when it enters fulfillment or ships.
6. Accounts and Account Security
You may be able to purchase as a guest or create a researcher account. You are responsible for keeping your login credentials confidential and for all activity conducted through your account. Information supplied during registration or checkout must be current, accurate, and complete. Notify us promptly if you believe your account has been accessed without authorization.
7. Shipping and Risk of Loss
Fulfillment timelines, packing standards, and carrier options are described in our Shipping Policy, which is incorporated into these Terms by reference. Title and risk of loss pass to you upon delivery to the carrier.
8. Returns and Refunds
Because of the nature of research materials, all sales are generally final once shipped. Limited exceptions for damaged, defective, or incorrectly fulfilled orders are described in our Return & Refund Policy.
9. Acceptable Use
You agree not to:
- Use, resell, or redistribute any product for human or veterinary consumption;
- Misrepresent our products as approved for therapeutic use;
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to the Site, its systems, or other users’ data;
- Interfere with Site operation, introduce malicious code, circumvent security controls, or conduct automated scraping without written permission;
- Use false information, impersonate another person, or engage in fraudulent payment activity; or
- Copy, reproduce, or commercially exploit Site content without written permission.
10. Intellectual Property
All content on the Site — including text, graphics, logos, product imagery, and the BioHax Labz name and marks — is owned by or licensed to BioHax Labz and protected by intellectual property laws. No license is granted except the limited right to view the Site for its intended purpose.
11. Third-Party Services and Links
The Site may rely on or link to services operated by third parties, including payment processors, carriers, analytics providers, and external websites. Their services are governed by their own terms and privacy practices. BioHax Labz does not control and is not responsible for third-party content, availability, security, or conduct.
12. Disclaimer of Warranties
The Site and all products are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. See our full Disclaimer.
13. Limitation of Liability
To the maximum extent permitted by law, BioHax Labz and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site or any product. Our total aggregate liability shall not exceed the amount you paid for the product giving rise to the claim.
Some jurisdictions do not permit certain warranty exclusions or liability limitations. Where those rules apply, the exclusions and limitations above operate only to the fullest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless BioHax Labz from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use or misuse of any product, your breach of these Terms, or your violation of any law or the rights of a third party.
15. Assumption of Risk
You acknowledge that research chemicals may present unknown hazards. You assume full responsibility for the safe handling, storage, use, and disposal of all products, and for ensuring that qualified personnel and appropriate safety equipment are in place.
16. Privacy
Your use of the Site is also governed by our Privacy Policy.
17. Electronic Communications
When you use the Site, place an order, or contact us electronically, you consent to receive transactional communications electronically. Electronic notices satisfy any legal requirement that a communication be in writing. Marketing communications are optional and may be unsubscribed from at any time.
18. Force Majeure
BioHax Labz is not responsible for delay or failure caused by events beyond its reasonable control, including severe weather, carrier disruption, labor disputes, utility or network outages, government action, natural disaster, public-health emergency, or interruption in material supply.
19. Changes to These Terms
We may update these Terms at any time. Changes are effective when posted to this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
20. Governing Law
These Terms are governed by the laws of the United States and the state in which BioHax Labz is organized, without regard to conflict-of-law principles.
21. General Provisions
These Terms and the policies incorporated by reference constitute the entire agreement concerning the Site and your purchase. If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure to enforce any provision is not a waiver. You may not transfer your rights or obligations without our written consent; BioHax Labz may assign these Terms as part of a merger, reorganization, financing, or transfer of business assets.
